Assignment fits where
- ownership of the mark is genuinely changing hands
- a business or brand line is being sold
- a mark held personally is moving into the operating entity
- group restructuring requires the mark to sit elsewhere
- an investor or acquirer requires the brand inside the entity
- a departing founder's mark must move to the company
A licence may be the better route where
- the owner wants to retain ownership and permit use
- the arrangement is franchise-like or territory-limited
- the arrangement is intended to be temporary or revocable
- royalty rather than a one-time consideration is intended
Assignment and licensing have different commercial, tax and record consequences. We work through which instrument matches what you actually intend before anything is drafted.
Agreement and recordal are two different things
An assignment is the transfer of rights in a mark from the assignor to the assignee, documented in a deed and supported by consideration and execution formalities. Recordal is the separate application asking the Registry to reflect the change of proprietorship on its records. Until the recordal is processed, the Registry's records continue to show the earlier proprietor — which matters for renewals, enforcement and diligence.

What goes wrong most often
Deed signed, recordal never filed
The register still shows the earlier proprietor, which surfaces at renewal, enforcement or diligence — usually at the worst moment.
Stamping treated as an afterthought
Stamping requirements are state- and document-specific, and cannot be corrected casually after execution.
Consideration left undocumented
A transfer without a clear consideration and invoicing trail creates questions for both parties later.
Goodwill not addressed
Whether the transfer carries goodwill changes what the assignee actually receives and should be stated expressly.
Pending proceedings ignored
Objections, oppositions or renewals in progress need to be dealt with in the terms, not discovered afterwards.
Partial transfer assumed
Whether a partial transfer is available depends on the mark and its status; it should be confirmed before terms are agreed.
